Welcome to Penana (the “Service”). The following Terms of Service apply when you view or use the Service via our website located at penana.com or its associated app/interface. Please review the following terms carefully. If you are under the age of majority in your country of residence, you may not use the Service without the verified consent of a parent or guardian. By accessing or using the Service, you confirm that you are either of legal age in your jurisdiction, or that you have obtained parental or guardian consent to use the Service. We reserve the right to suspend or terminate any account we reasonably believe to be used by a minor without proper consent.

PRIVACY POLICY

Penana Limited (the “Company”) respects the privacy of its Service users. Please refer to the Company’s Privacy Policy which explains how we collect, use, and disclose information that pertains to your privacy. When you access or use the Service, you signify your agreement to this Privacy Policy.

PASSWORDS AND SECURITY

Your Account and any privileges granted to your account are for your sole use only and must not be used by any third party. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service. You shall notify us immediately of any unauthorized use of your password and/or account. The Company will not be responsible for any liabilities, losses, or damages arising out of the unauthorized use of your member name, password and/or account.

USE RESTRICTIONS

Your permission to use the Site is conditioned upon the following Use Restrictions and Conduct Restrictions: You agree that you will not under any circumstances:

• post any information that is abusive, threatening, obscene, defamatory, libelous, or racially, sexually, religiously, or otherwise objectionable and offensive;
• use the service for any unlawful purpose or for the promotion of illegal activities;
• post, upload, or share any content that constitutes spam, unsolicited advertising, commercial promotion, or solicitation of business, including but not limited to articles or messages promoting products, services, referral programs, or external websites;
• attempt to, or harass, abuse or harm another person or group;
• share your account credentials with someone else to allow them to access any part of the Paid Services or Content that such person did not order;
• use another user’s account without permission;
• impersonate others in a manner that does or is intended to mislead, confuse, or deceive others, or to misrepresent your identity or affiliation with any others;
• create multiple accounts for abusive or disruptive purposes;
• provide false or inaccurate information when registering an account;
• distribute in any medium any part of the Website, including but not limited to User Content (defined below), without our prior written authorization;
• interfere or attempt to interfere with the proper functioning of the Service;
• make any automated use of the Service, including but not limited to the use of bots, scripts, crawlers, data mining tools, or similar automated technologies, to access, collect, extract, or index content or data from the Service without our prior written permission, or take any action that we determine may impose an unreasonable or disproportionately large load on our servers or network infrastructure;
• bypass any robot exclusion headers or other measures we take to restrict access to the Service or use any software, technology, or device to scrape, spider, or crawl the Service or harvest or manipulate data;
• use the Service or any content available on the Service to train artificial intelligence models or machine learning systems, or to systematically collect or extract content for such purposes, without authorization from the relevant rights holders; or
• publish or link to malicious content intended to damage or disrupt another user’s browser or computer.

MATURE AND ADULT CONTENT

The Service may contain content intended for mature audiences. By using the Service, you acknowledge that you may encounter material that includes adult themes.

Users who post content that contains mature themes (including but not limited to explicit sexual content, graphic violence, or other sensitive material) are responsible for ensuring that such content is appropriately categorized, labeled, or restricted where required by the Service.

Users must comply with all applicable laws and regulations when publishing such content. Content that is unlawful, exploitative, or involves minors in a sexual context is strictly prohibited.

Penana reserves the right, at its sole discretion, to remove, restrict, or reclassify any content that it considers inappropriate, unlawful, or in violation of these Terms.

POSTING AND CONDUCT RESTRICTIONS

When you create your own personalized account, you may be able to provide (“User Content”). You are solely responsible for the User Content that you post, upload, link to or otherwise make available via the Service. You agree that we are only acting as a passive conduit for your online distribution and publication of your User Content. The Company, however, reserves the right to remove any User Content from the Service at its discretion. The following rules pertain to User Content. By transmitting and submitting any User Content while using the Service, you agree as follows:

• You are solely responsible for your account and the activity that occurs while signed in to or while using your account;
• You will not post information that is malicious, false or inaccurate;
• You will not submit content that is copyrighted or subject to third party proprietary rights, including privacy, publicity, trade secret, etc., unless you are the owner of such rights or have the appropriate permission from their rightful owner to specifically submit such content; and
• You hereby affirm we have the right to determine whether any of your User Content submissions are appropriate and comply with these Terms of Service, remove any and/or all of your submissions, and terminate your account with or without prior notice.

You understand and agree that any liability, loss or damage that occurs as a result of the use of any User Content that you make available or access through your use of the Service is solely your responsibility. The Company is not responsible for any public display or misuse of your User Content. The Company does not, and cannot, pre-screen or monitor all User Content. However, at our discretion, we, or technology we employ, may monitor and/or record your interactions with the Service.

Penana reserves the right, at its sole discretion, to remove, restrict, or moderate any content or user activity that it believes violates these Terms or may harm the Service or its users.

AI-GENERATED CONTENT

Users who publish content that is fully or partially generated by artificial intelligence tools should disclose this in the content description or author's notes. Failure to disclose AI-generated content may result in removal of the content or suspension of the account.

Users are solely responsible for ensuring that any AI-generated content they publish does not infringe the intellectual property rights of others. Penana does not guarantee the legality, originality, or ownership status of AI-generated content and accepts no liability in connection with such content.

Penana reserves the right, at its sole discretion, to remove, restrict, label, or otherwise moderate any content that it reasonably believes to be AI-generated, whether or not disclosure has been made.

Users may not use the Service to systematically generate and publish AI content in bulk, or in any manner that Penana determines to be disruptive, deceptive, or detrimental to the experience of other users.

USER CONTENT REPRESENTATIONS AND WARRANTIES

By submitting, posting, or publishing content on the Service, you represent and warrant that:

• You are the creator or rightful owner of the content, or you have obtained all necessary rights, licenses, consents, and permissions to publish the content on the Service.
• Your content does not infringe, misappropriate, or violate the intellectual property rights, privacy rights, publicity rights, or any other rights of any third party.
• Your content does not violate any applicable laws or regulations.
• You have the right to grant the licenses described in these Terms.

You agree that you are solely responsible for the content you publish. Penana does not guarantee the legality, originality, or accuracy of user content and shall not be liable for any claims arising from such content.

DERIVATIVE WORKS AND FAN FICTION

You must have the necessary rights or permissions to post any content you submit to the Service. If your content includes third-party works (including fan fiction, adaptations, translations, or other derivative works), you are solely responsible for ensuring you have the rights or permissions required to publish and use such content and for any disputes arising from it.

Penana does not endorse, authorize, or verify the legality of any fan fiction or derivative works submitted by users.

Penana may remove or disable access to content in response to rights-holder complaints or legal requirements. Unless otherwise agreed in a separate written agreement, Penana does not guarantee that any fan fiction or derivative works will remain available on the Service.

Users acknowledge that certain fan fiction or derivative works may be based on intellectual property owned by third parties. If such works are made available for monetization through features such as paid content, subscriptions, or user tips, users are solely responsible for ensuring that such monetization is permitted by the relevant rights holders. Penana does not verify or guarantee that users have obtained such permissions and shall not be responsible for any claims arising from the monetization of derivative works.

INTELLECTUAL PROPERTY

You retain all ownership rights in your User Content. By submitting, posting, or displaying Content on or through the Service, you grant Penana a non-exclusive, worldwide, sublicensable, royalty-free license to host, store, reproduce, display, distribute, and otherwise make your Content available through the Service, including through different media formats and distribution channels, for the purpose of operating, promoting, and improving the Service. This license is limited to enabling Penana and its service providers to operate the Service and does not transfer ownership of your Content to Penana.

CONTENT OWNERSHIP DISPUTES

Penana does not adjudicate or resolve disputes regarding the ownership, authorship, or originality of User Content.

If a dispute arises between users regarding the ownership or originality of content, the parties involved are responsible for resolving the matter between themselves or through appropriate legal channels.

Penana reserves the right, at its sole discretion, to remove, restrict, or disable access to any content that is subject to a dispute.

ORIGINALITY OF USER CONTENT

Penana does not guarantee the originality, authenticity, or uniqueness of any User Content published on the Service.

Users are responsible for ensuring that the content they publish does not infringe the intellectual property rights of others. If you believe your work has been copied or used without permission, you may submit a copyright complaint in accordance with the procedures described in these Terms.

Penana is not responsible for monitoring or verifying the originality of User Content but may remove or restrict access to content in response to complaints or legal requirements.

USE OF CONTENT FOR TECHNOLOGY DEVELOPMENT

Penana may process User Content and data derived from the Service for the purpose of operating, maintaining, and improving the Service, including analytics, content moderation, summarization, recommendation systems, security, and technology development.

Such processing may involve automated systems, machine learning technologies, or third-party technology providers.

Unless otherwise stated, Penana will not use creators’ content to train generative artificial intelligence models intended for general public use without appropriate authorization.

CONTENT LICENSING AND SUBRIGHTS

From time to time, Penana may facilitate opportunities for creators to license or commercialize their content, including but not limited to publishing, adaptation, translation, or other derivative rights. Unless otherwise agreed in a separate written agreement, Penana does not acquire ownership of such rights. Any licensing or commercial arrangement relating to such rights will be subject to separate agreements between the relevant parties.

PROMOTION AND EVALUATION OF CONTENT

In order to promote the Service and support potential licensing or commercialization opportunities for creators, Penana may display excerpts, summaries, loglines, cover images, or other limited portions of user content for promotional, editorial, or evaluation purposes.

Such uses may include showcasing content on the platform, preparing previews or editorial materials, or presenting works to potential publishing, media, or licensing partners. Penana may also introduce creators and their works to potential partners and facilitate discussions regarding possible licensing or adaptation opportunities.

These activities are intended to promote the Service and the creator’s work and do not transfer ownership of the content to Penana. Any formal licensing, adaptation, or commercialization of a creator’s work will require a separate agreement with the relevant rights holder unless otherwise expressly agreed.

OPTIONAL REPRESENTATION FOR RIGHTS LICENSING

Penana may assist creators in identifying, introducing, or facilitating potential licensing, publication, adaptation, translation, or other commercial opportunities relating to their works, including opportunities involving third-party publishers, producers, or other partners.

Unless a separate written agreement is entered into, Penana does not act as a literary agent, publisher, or representative of the creator and does not have authority to license, assign, or sell rights in a creator’s work on the creator’s behalf.

Any licensing, adaptation, or commercialization of a creator’s work will require a separate agreement between the relevant parties.

SUBMISSION OF CREATIVE IDEAS

Users acknowledge that many creative works may share similar themes, ideas, plots, or concepts. By submitting content to the Service, you agree that Penana, its partners, or other users may independently create or develop content that may be similar to your work.

You agree that Penana shall not be liable for any claims arising from similarities between your content and other works that may appear on the Service or elsewhere.

PURCHASED AND RENTAL CONTENT, SUBSCRIPTION AND SPONSORING

Penana operates a platform that enables creators to publish, distribute, and monetize their content, and enables users to interact with creators through the Service. Users may purchase or obtain access to creator content through the platform, including on a one-off basis or through subscription plans, subject to these Terms.

Upon payment of the applicable fees (including applicable taxes), the User Content provider grants you a non-exclusive right to view, use, and display such User Content solely through Penana or its affiliated services and solely for your personal, non-commercial use, for as long as the rights exist to provide such content or for the specified access period. User Content is licensed to you by the User Content provider and not sold.

Penana may also offer certain digital or physical products for sale through the Service, including products provided by Penana or by third parties. Where a product or service is provided by a third party, the applicable terms relating to fulfilment, returns, or warranties may be those of the relevant third party as disclosed to you.

Applicable taxes, including value-added tax (VAT), goods and services tax (GST), sales tax, or similar taxes depending on the user’s jurisdiction, may apply to payments made through the Service.

Penana may provide payment processing and payout facilitation services in connection with purchases and other transactions conducted through the platform. Penana may collect payments through the Service, charge platform service fees and payment processing fees, and remit earnings to creators or other sellers in accordance with the platform’s payout policies.

Penana may facilitate payments to creators for earnings generated through the platform, including subscription revenue, tips, and other forms of user support. Such payments represent creator earnings resulting from the distribution and monetization of content through the platform and do not constitute royalties paid for the licensing of intellectual property.

Creators are responsible for any taxes applicable to their earnings received through the platform.

Some content, such as interactive or highly formatted content, may not be available on all devices or applications. Access to purchased content may become unavailable in certain circumstances, including where the creator removes the content, licensing rights expire, or technical limitations apply. Penana will use reasonable efforts to maintain access to purchased content where possible. If your purchase includes the ability to download purchased content, we encourage you to download that content promptly after purchase. If access to purchased content unexpectedly becomes unavailable within 30 days from the purchase date, you may request a refund.

For certain subscription plans, the User Content provider may offer certain future benefits or rewards. Penana cannot guarantee that such promises will be fulfilled and is not responsible for losses arising from unfulfilled benefits or from conflicting contractual agreements between users and creators.

Certain User Content may receive voluntary tips or support payments from other users as a way to express appreciation or support for the content creator. Payment of such fees typically does not grant you any additional rights except as otherwise specified. In some cases, you may be allowed to leave a sponsor’s comment that may be visible to the content creator and/or other readers.

Unless specifically indicated otherwise, you may not sell, rent, lease, distribute, broadcast, sublicense, or otherwise assign any rights to the content or any portion of it to any third party. In addition, you may not attempt to bypass, modify, defeat, or otherwise circumvent any digital rights management system or other content protection or features used as part of the Service. We do not grant you any public performance, public display, commercial sale, resale, reproduction, or distribution rights for any User Content.

Penana makes no representations or warranties concerning:

• The availability of User Content in a particular jurisdiction.
• The availability of User Content for any particular device, operating system, or browser.
• The continued support for a particular feature of the Service.
• The quality, legality, or suitability of any User Content for any audience. All opinions and statements expressed in User Content are those of the respective creators and not of Penana.
• The continued availability of any User Content.
• The uninterrupted or error-free operation of the Service.

Penana does not guarantee the performance, delivery, or fulfillment of any promises, benefits, or content offered by creators. Any such commitments are solely between the creator and the user.

TERMS OF SALE

We may offer digital or physical products for sale within the Service. All orders are subject to availability and confirmation of the order price.

Where a contract is made with a third party Penana is not acting as either agent or principal and the contract is made between yourself and that third party and will be subject to the terms of sale which they supply you. When placing an order you undertake that all details you provide to us are true and accurate, that you are an authorized user of the credit or debit card or other payment methods used to place your order and that there are sufficient funds to cover the cost of the goods. The cost of foreign products and services may fluctuate. All prices advertised are subject to such changes.

Whilst we try and ensure that all details, descriptions and prices which appear on this Website are accurate, errors may occur. If we discover an error in the price of any goods which you have ordered we will inform you of this as soon as possible and give you the option of reconfirming your order at the correct price or cancelling it. If we are unable to contact you we will treat the order as cancelled. If you cancel and you have already paid for the goods, you will receive a full refund. Delivery costs may be charged in addition; such additional charges are clearly displayed where applicable.

Dispatch times may vary according to availability and subject to any delays resulting from postal delays or force majeure for which we will not be responsible.

Penana may make changes to any products or services offered on the Site, or to the applicable prices for any such products or services, at any time, without notice. The materials on the Site with respect to products and services may be out of date, and Penana makes no commitment to update the materials on the Site with respect to such products and services.

COPYRIGHT COMPLAINTS

Penana respects the intellectual property rights of others and expects users of the Service to do the same.

If you believe that content available on the Service infringes your copyright, you may submit a copyright infringement notice through the reporting tools available within the Service, or by contacting us at contact@penana.com, with sufficient information to identify the allegedly infringing material and information reasonably sufficient to show that you own (or are authorized to act on behalf of the owner of) the relevant rights.

Upon receiving a valid notice, Penana may remove or disable access to the allegedly infringing content and may take appropriate action against the user who posted the content. Penana reserves the right to terminate the accounts of users who repeatedly infringe intellectual property rights.

If you believe that your content was removed or disabled as a result of mistake or misidentification, you may submit a counter-notification to us at contact@penana.com explaining why the content should be restored. Penana may review such counter-notifications and, where appropriate, restore the content at its discretion.

ILLEGAL CONTENT NOTICE

If you believe that any content available on the Service is illegal or violates applicable laws or regulations, you may notify Penana by using the reporting tools available within the Service or by contacting us at contact@penana.com , and providing sufficient information to identify the relevant content and explain why you believe the content is unlawful.

Upon receiving such notice, Penana may review the content and may remove, restrict, or disable access to the content where appropriate. Penana may also contact the relevant user to request additional information or take other appropriate actions.

Penana reserves the right, in its reasonable discretion, to determine whether any action is required, including but not limited to removing content, restricting account access, or taking other appropriate measures.

CONTENT AVAILABILITY AND REMOVAL

Penana does not guarantee the permanent storage or availability of any content on the Service. Content availability may change due to actions taken by creators, legal requirements, or operational decisions made by Penana.

Creators may remove their content from the Service at any time, subject to the limitations of the Service features.

However, content that has already been purchased, accessed, or otherwise made available to users through the Service may continue to be available to those users in order to preserve their access rights and maintain the integrity of past transactions.

Penana reserves the right to retain, display, or make available such content for users who have previously obtained access to it.

Penana does not guarantee that creators will continue to provide content during any subscription period. Any commitments or promises made by creators regarding future content or benefits are solely between the creator and the user.

LINKS TO OTHER SITES AND/OR MATERIALS

As part of the Service, the Company may provide you with convenient links to third party website(s) (“Third Party Sites”) as well as content or items belonging to or originating from third parties (the “Third Party Applications, Software or Content”). These links are provided as a courtesy to Service users. The Company has no control over Third Party Sites and Third Party Applications, Software or Content or the promotions, materials, information, goods or services available on these Third Party Sites or Third Party Applications, Software or Content. Such Third Party Sites and Third Party Applications, Software or Content are not investigated, monitored or checked for accuracy, appropriateness, or completeness by the Company, and the Company is not responsible for any Third Party Sites accessed through the Site or any Third Party Applications, Software or Content posted on, available through or installed from the Site. Inclusion of, linking to or permitting the use or installation of any Third Party Site or any Third Party Applications, Software or Content does not imply approval or endorsement thereof by the Company. If you decide to leave the Site and access the Third Party Sites or to use or install any Third Party Applications, Software or Content, you do so at your own risk and you should be aware that our terms and policies no longer govern. TERMINATION

Either party may terminate the Services at any time by notifying the other party. Penana Limited may also terminate or suspend any and all Services and access to the Site immediately, without prior notice or liability, if a user breaches any of the terms or conditions of this Agreement. Upon termination of user's account, user’s right to use the Services, access the Site, and any Content will immediately cease. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, and limitations of liability. Termination of Your access to and use of the Site and the Services shall not relieve users of any obligations arising or accruing prior to such termination or limit any liability which users otherwise may have to Penana Limited or the Site, including without limitation any indemnification obligations contained herein.

Penana may also suspend or restrict access to the Service while investigating suspected violations of these Terms.

INDEMNIFICATION

You agree to indemnify and hold harmless Penana, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Service;
• Your User Content;
• Your violation of these Terms of Service; or
• Your violation of any rights of another person or entity.

DISCLAIMER

Opinions, advice, statements, offers, or other information or content made available through the Service, but not directly by the Company, are those of their respective authors, and should not necessarily be relied upon. Such authors are solely responsible for such content. The Company does not guarantee the accuracy, completeness, or usefulness of any information on the Service. The Company takes no responsibility and assumes no liability for any User Content that you or any other user or third party posts or sends over the Service. Under no circumstances will the Company be responsible for any loss or damage resulting from anyone’s reliance on information or other content posted on the Service, or transmitted to users.

Though the Company strives to enforce these Terms of Service, you may be exposed to User Content that is inaccurate or objectionable. The Company reserves the right, but has no obligation, to monitor the materials posted on the service or to limit or deny a user’s access to the Service or take other appropriate action if a user violates these Terms of Service or engages in any activity that violates the rights of any person or entity. The service, is provided “as is” without warranty of any kind. The company makes no warranty or representation that access to or operation of the service will be uninterrupted or error free. You assume full responsibility and risk of loss resulting from your downloading and/or use of files, information, content or other material obtained from the service. Some jurisdictions limit or do not permit disclaimers of warranty, so this provision may not apply to you.

You are solely responsible for your interactions with other users with whom you interact through the Service. The company reserves the right, but has no obligation, to become involved in any way with any disputes concerning the Service. If you have a dispute with one or more users, you release us (and our officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

MODIFICATION OF TERMS OF SERVICE

We can amend these Terms of Service at any time and will update these Terms of Service in the event of any such amendments. It is your sole responsibility to check the Site from time to time to view any such changes in the Agreement. If you continue to use the Site, you signify your agreement to our revisions to these Terms of Service. However, we will notify you of material changes to the terms by posting a notice on our homepage and/or sending an email to the email address you provided to us upon registration. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.

GENERAL

If any part of this Agreement is held invalid or unenforceable, that portion of the Agreement will be construed consistent with applicable law. The remaining portions will remain in full force and effect. Any failure on the part of the Company to enforce any provision of this Agreement will not be considered a waiver of our right to enforce such provision. Our rights under this Agreement will survive any termination of this Agreement. You agree that any cause of action related to or arising out of your relationship with the Company must commence within ONE year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

These Terms of Service and your use of the Site are governed by the laws of Hong Kong, without regard to conflict of law provisions.

YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THE TERMS OF SERVICE, AND WILL BE BOUND BY THESE TERMS AND CONDITIONS. YOU FURTHER ACKNOWLEDGE THAT THESE TERMS OF SERVICE TOGETHER WITH THE PRIVACY POLICY REPRESENT THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN US AND THAT IT SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENT ORAL OR WRITTEN, AND ANY OTHER COMMUNICATIONS BETWEEN US RELATING TO THE SUBJECT MATTER OF THIS AGREEMENT.
